What to expect, step by step

We’ve designed our process to be decisive, transparent, and respectful of your time. While every partnership is different, most transactions are thoughtfully completed within 6–12 months from the initial conversation.

Initial Conversation

A confidential call with our M&A team — no pressure, no bankers in the room. We learn about your business and share how we work. You can also speak directly with a founder who’s been through our process.

Preliminary Evaluation & LOI

We review high-level financials, operational performance, and overall business fit before sharing a preliminary offer range. With mutual interest, we move forward with a Letter of Intent. We stand behind our LOIs with a reputation for a straightforward, transparent approach with no retrades.

Diligence & Structuring

We conduct a thorough but efficient diligence process focused on understanding your financials, operations, team, and long-term goals.
Deal structure is tailored to your goals and can include rollover equity opportunities if desired.

Close & Partner Planning

We close, and the real work begins. Before day one, we build a customized integration plan with your leadership team — focused on preserving culture and minimizing disruption for your people and clients.

Integration & Growth

Our integration team provides personalized guidance throughout the transition, working alongside your team every step of the way. Together, we gradually align systems, standards, and shared resources while providing the support and tools for long-term success. Acquisition Criteria

We’re selective because we view every partnership as a long-term commitment, not a transaction. We look for strong businesses, strong leadership, and owners who share our values, vision, and commitment to building something meaningful for the future.

Maintenance-focused commercial book

Majority commercial clients with a high percentage of recurring maintenance revenue. Focus on retention and the recurring model is core to our business.

$3M–$30M in annual revenue

We consider businesses within this range. We’re open to smaller books in markets where we’re already established and looking to grow density.

Midwest and contiguous markets

Our primary focus is the Midwest, Mid-Atlantic, and Central US, with strategic interest in adjacent markets. We don’t acquire businesses outside our operational footprint.

Strong leadership and culture

A committed management team that invests in its people and has built a strong, respected culture employees are proud to be part of.

Proven profitability

Consistent financial performance over 3+ years. We don’t require perfection, but we do need a track record of operational discipline.
